1. The service and agreement

Codlyra is an online workspace for generating, editing, previewing, and exporting websites and interactive frontend projects with AI assistance. The company name is Codlyra, LLC; current formation details are provided in the company notice. These terms apply to the service at codlyra.com.

By creating an account or using the service, you agree to these terms, the Privacy policy, and the Acceptable use policy. If you use Codlyra for an organization, you confirm you are authorized to accept these terms on its behalf. You must be at least 18 years old and legally able to enter an agreement.

2. Accounts and access

Provide accurate account information, use a strong password, and keep your login credentials confidential. You are responsible for activity on your account unless caused by a failure for which we are legally responsible. Notify us promptly of unauthorized access.

You can access the workspace immediately after registration without mandatory email verification. This does not mean ownership of the address has been verified. Email verification and recovery are available when transactional email is configured. We may require additional verification for account recovery, billing disputes, or security-sensitive requests.

3. What the workspace supports

The current service supports HTML, CSS, JavaScript, and React frontend projects, code editing, an isolated preview, version history, ZIP exports, and optional shared previews. Projects currently support up to 100 text files and 1 MB of source code. Agent runs have step, context, and time limits, and one active run per account.

The preview does not provide a production server, database, unrestricted network access, or arbitrary package installation. Hosting on custom domains, production backend integration, and deployment of exported code are your responsibility. Features and model availability may change. We do not guarantee that a specific third-party model will remain available.

4. AI output and review

AI output can be incomplete, inaccurate, insecure, or unsuitable for a particular purpose. Review and test code before deploying it. You are responsible for determining whether generated content is appropriate, legally usable, and compliant with third-party licenses or requirements.

Codlyra is not professional legal, financial, medical, or security advice. We do not guarantee that output is unique, non-infringing, production-ready, or that a website will be approved by any bank, payment provider, or incorporation service.

5. Your content and ownership

As between you and Codlyra, you retain rights in the content you provide and may use generated output subject to applicable law, third-party rights, and the selected AI provider’s terms. Codlyra does not claim ownership of your project source code.

You grant us a limited license to host, process, transmit, and display your content to provide and secure the service at your direction. This includes sending relevant content to selected AI providers. You confirm that you have the rights and permissions needed to submit that content.

Codlyra branding, interface design, application software, and other materials we provide outside your project remain ours or our licensors’. You may export your project and use it independently.

6. Plans, credits, and payment

The free workspace includes 3 private projects and can use your own API keys. Listed paid plans are Launch ($50/month), Build ($150/month), Scale ($300/month), and Studio ($500/month), in US dollars. Details and included credits are shown on the Pricing page. Paid orders are available only after company and payment onboarding are complete.

Subscriptions renew monthly until cancelled. A confirmed subscription invoice grants that month’s credits. Plan credits and top-ups do not expire while the account remains active. Top-ups are one-time purchases from $1 to $10,000 at 100 credits per US dollar. Credits are non-transferable service allowances, not money, deposits, investments, or redeemable cash.

Managed AI usage is charged at the model rates displayed in Pricing. We reserve your selected run budget and return unused credits after the run. Tokens already used may be charged even if a run is stopped or unsuccessful. We do not charge more than your selected managed run budget.

Using your own provider key does not consume Codlyra credits; the provider bills you directly. Your provider’s limits apply. Applicable taxes, if any, are shown before confirmation. We do not automatically top up your account. Card information is handled through Stripe-hosted checkout.

7. Cancellation, refunds, and failed payments

You can cancel a subscription through the billing portal. Cancellation takes effect at the end of the paid period unless otherwise required by law or agreed with support. You retain access to existing projects and can export them after moving to the free plan, but new project creation is limited by that plan.

Our Refunds & cancellation policy governs refund requests, subject to mandatory consumer rights. Refunds reverse the associated unused service credits. If a refund reverses already-spent credits, the balance may become negative and managed use may pause until the balance is resolved.

We may restrict paid features if a payment fails, a subscription becomes unpaid, or a payment is disputed. Contact support to resolve billing errors.

8. Acceptable use and service restrictions

Use the service lawfully, respect others’ rights, and follow the Acceptable use policy. Do not submit payment-card data, account credentials, or confidential information you are not authorized to share. Save AI provider credentials only through the designated Settings interface.

We may suspend or restrict access to address abuse, security risks, nonpayment, or legal requirements. Where practical, we will provide a reason and a way to contact us. You can stop using the service at any time and request deletion.

9. Availability and liability

We aim to provide a reliable workspace, but interruptions, data loss, and third-party outages can occur. Keep exported backups of important work. Early-access features may change and are provided without a service-level commitment.

To the maximum extent permitted by applicable law, the service is provided “as is” and “as available,” without implied warranties, and we are not liable for indirect, incidental, or consequential losses. Our aggregate liability for claims relating to the service is limited to the greater of the fees you paid Codlyra during the preceding 12 months or US$100.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including applicable consumer rights, fraud, willful misconduct, or other non-excludable statutory obligations.

10. Changes, disputes, and contact

Material changes to pricing or these terms will be communicated through the service or email when available before they apply to future purchases. Existing mandatory rights remain unaffected. If you do not accept a change, you may stop using the service and cancel renewal.

Please contact us first if a concern arises so we can try to resolve it. Applicable mandatory consumer laws and rights of access to local courts are preserved. No mandatory arbitration requirement is imposed by these terms.
